Part-Time Opportunity for Experienced Florida Business Attorneys

(Remote in Florida or Jacksonville, FL)

The Legal Department for Service Professionals is seeking a seasoned Florida-licensed Business Attorney with expertise in mergers, acquisitions, and business sales. This flexible, part-time position is ideal for experienced attorneys considering semi-retirement, looking to re-enter the profession after a break, or seeking to balance legal work with other life priorities.

The Business Attorney provides legal guidance and services to clients primarily through virtual meetings and communications. Key responsibilities include creating entities, conducting entity audits, and reviewing, drafting, and negotiating a range of contracts—including those related to mergers, acquisitions, and business sales. Contract types may include employment agreements, independent contractor agreements, operating agreements, shareholder agreements, vendor agreements, licensing agreements, service agreements, asset purchase agreements, stock purchase agreements, membership interest purchase agreements, and lease agreements. Additionally, the Business Attorney will work closely with our Corporate Law Clerks to ensure seamless support and service.

The ideal candidate will have extensive experience working with small business owners and a comprehensive background in business law, particularly in mergers, acquisitions, and business sales. Required expertise includes business entity formation, government regulations, intellectual property (copyrights and trademarks),

employee/independent contractor matters, ownership agreements, vendor agreements, client/customer service agreements, and business acquisitions.

  • Draft custom contracts for clients using our firm’s templates and samples
  • Review contracts and provide feedback to clients
  • Revise and/or negotiate contracts on behalf of clients
  • Conduct legal research as needed
  • Respond to all client communications in a prompt manner
  • Meet with clients to discuss legal matters
  • Conduct initial assessment meetings with new clients
  • Review/proofread entity formation books prepared by the paralegal
  • Review/proofread entity audits from the paralegal
  • Create and improve internal processes and procedures
  • Attend team meetings to collaborate and align on goals
  • Debrief with the Business Specialist on new matters
  • Debrief with the Business Specialist on conclusion of matters
  • Develop legal templates and checklists for work efficiency
  • Write occasional articles on legal topics relevant to clients
  • Perform other tasks as needed to support the team and clients
